• Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

You agree to defend, indemnify, and hold harmless LayerScale, Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class action or other representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and LayerScale, Inc. regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
